These terms apply to every client of Actus. Prices and scope are set per client in an Order Form.
Parties. Actus ("Actus"), reachable at info@actus-ai.nl, and the client named in the Order Form ("Client").
1. Definitions
Agent: a configured AI workflow that performs tasks for Client within the scope set in the Order Form.
Services: building, connecting, running, monitoring and maintaining the Agents.
Client Data: all data Client or its systems make available to the Agents.
Output: emails, records, reports and other results the Agents produce.
Approval Step: a point where an Agent waits for a person at Client to approve an action.
2. Services
Actus delivers the Services described in the Order Form.
Actus performs the Services with reasonable care and skill. This is an obligation of effort (inspanningsverplichting), not a guarantee of a specific result.
Changes in scope are agreed in writing in a new or updated Order Form.
3. Client responsibilities
Client gives Actus the access, information and contact person needed to deliver the Services.
Client is responsible for the accuracy and lawfulness of Client Data, and for having the right to let the Agents use it.
Client decides which actions need an Approval Step, and reviews Output before it is approved.
Client does not use the Agents for unlawful purposes, spam, or decisions with legal effect on individuals without human review.
4. AI output
Agents use AI models that can make mistakes. Output may be incomplete or wrong.
Actions marked for approval in the Order Form are only carried out after approval by Client.
Actus is not liable for Output that Client approved or chose to run without an Approval Step.
5. Fees and payment
Client pays the fees in the Order Form.
Actus invoices monthly in advance. Invoices are due within 14 days.
If Client pays late, Actus may charge statutory commercial interest and, after written notice, suspend the Services.
Actus may change its prices once per year with 60 days' written notice. Client may end the agreement before the change takes effect.
Costs of third-party tools Client chooses, such as a CRM licence, are paid by Client.
6. Term and termination
The agreement starts on the start date in the Order Form and runs month to month. There is no minimum term.
Either party can end it with one month's written notice.
Either party may end the agreement immediately if the other seriously breaches it and does not fix the breach within 14 days of written notice, or goes bankrupt.
When the agreement ends, Actus switches off the Agents, removes its access to Client systems, and returns or deletes Client Data as set out in the Data Processing Agreement.
7. Intellectual property
Client owns Client Data and the Output.
Actus keeps ownership of its own templates, prompts, workflows, know-how and tools. Client gets a non-exclusive right to use them as part of the Services during the agreement.
Actus may reuse general know-how gained, but never Client Data or Client's confidential information.
8. Confidentiality
Both parties keep each other's confidential information secret during the agreement and for 3 years after it ends, and only use it for this agreement. This does not apply to information that is public, already known, or must be disclosed by law.
9. Data protection
Where Actus processes personal data for Client, the Data Processing Agreement applies and forms part of this agreement.
10. Liability
Actus is only liable for direct damage caused by its attributable failure.
Actus is not liable for indirect damage, including lost profit, lost revenue, lost savings, damage to reputation or business interruption.
Actus' total liability per year is limited to the fees Client paid in the 12 months before the event, with a maximum of €10,000.
These limits do not apply to damage caused by intent or deliberate recklessness of Actus' management.
Client must report a claim in writing within 6 months after discovering the damage.
11. Third-party services
Agents rely on third-party services such as AI model providers and hosting. Actus is not responsible for outages or changes at those providers, but will tell Client and look for a workaround.
12. Force majeure
Neither party is liable for failure caused by circumstances outside its control, including outages of third-party services. If force majeure lasts longer than 60 days, either party may end the agreement.
13. Non-solicitation
During the agreement and 12 months after it, neither party hires the other's staff who worked on the Services without written consent.
14. General
The Order Form, these terms, the Data Processing Agreement and the AI and human approval policy form the whole agreement. In case of conflict, this order applies: Order Form, Data Processing Agreement, these terms, policy.
Client's own general terms do not apply.
Changes are only valid in writing, including email confirmed by both parties.
Dutch law applies. Disputes go to the competent court in the district where Actus is established.

How Actus agents behave, and why nothing goes live without your yes.
People decide. Agents prepare, draft and update. Any action with real consequences, such as emails to customers or investors, payments, deleting records or sharing documents, waits for approval unless the client explicitly chose otherwise in the Order Form.
Least access. Each agent only gets access to the tools and folders it needs. Clients can withdraw access themselves at any time.
Everything logged. Every agent action is recorded with time, input and result. Clients can ask for the log at any time.
Open about AI. When an agent talks directly with people, for example in a support chat, it says it is an AI assistant.
No sensitive decisions. Agents do not make decisions about hiring, credit, health or legal matters without human review.
No training on client data. Client data is never used to train AI models.
Mistakes are fixed fast. If an agent makes a mistake, Actus pauses it, fixes the cause and tells the client what happened and what changed.
Review every quarter. Actus and the client check every 3 months whether the approval settings still fit.
